| Alburg Sno Springers Club By-Laws Article I: Name- The name of this Club shall be Alburg Sno-Springers, Inc., hereafter referred to as the Club. Article II: Purpose: This club is a non-profit corporation organized exclusively for charitable and educational purposes, including the following: a. To promote the fine sport of snowmobiling through safety training, public awareness and respect for the environment and landowners. b. To work closely with, and under the auspices of the Vermont Association of Snow Travelers to secure and maintain snowmobile trails for recreational riding in the county of Grand Isle. c. To foster a close relationship, with appreciation for, and recognition of landowners in Grand Isle County, Vermont. d. To educate and encourage the safe, courteous, lawful and responsible use of snowmobiles. e. To render public services in case of emergency or disaster. Article III: Composition- The membership of this Club shall be open to all people who enjoy the sport of snowmobile riding or who support our purpose and mission including elected officials, community leaders and others who have an interest in snowmobile recreation. Membership in this Club shall be non- discriminatory in basis without regard to age, gender, race, creed, color or national origin. All members shall have an equal stake in the Club and its activities. Each member shall have a voice and a vote. Membership shall be on going, subject to termination for just cause as determined by the Executive Committee, and the established policies of the Club. Just cause for termination shall include, but not be limited to: Misappropriation of club funds or equipment Violation of snowmobile laws Willful damage to a landowner’s property Article IV: Officers and Executive Committee- The elected officers of the club shall be President, Vice President, Secretary, Treasurer and Trail Master. These officers shall be the Executive Committee of the Club, and shall have the authority to act on behalf of the Club between membership meetings. All officers shall be at least 18 years of age. Duties of the Officers- The President shall preside at meetings of the membership and the Executive Committee. The Vice-President shall perform all the duties of the President in his or her absence. It is the responsibility of the Vice President to keep current in the affairs of the club and to assist with the duties of the President when asked to. The Secretary shall keep a record of the meetings of the Club. The Secretary shall be responsible for the legal records of this Club, and perform other duties that generally befit this office. The Treasurer shall have primary responsibility for the financial records for the Club. The Treasurer shall oversee and record collection of dues and all monies due the Club. The duties also include, in a timely fashion, to pay lawful expenses authorized by the Executive Committee. This shall include presenting the membership with a financial report at each meeting. At the discretion of the Executive Committee, the Treasurer’s Books shall be subject to an annual audit by a committee appointed by the President consisting of non-Executive Committee members. The Trail Master shall oversee construction and maintenance of the club trails, including grooming activities. All Club Officers and the County Director and County Trail Coordinator shall be elected by vote of the membership. Nominations and elections will be held at the regularly scheduled September meeting. All members having current dues paid shall be eligible for election. Each officer will be elected individually. The presiding officer shall request nominations for each office thrice, before a motion to close nominations shall be accepted. Article V: Membership and Dues- Membership dues shall be $15.00 per year. The Executive Committee may, in any given year with approval of the membership, dedicate a portion of the dues to a specific fund including, but not limited to replacement of our Grooming Equipment. The membership year shall run from September 1st to August 31st of the following year (example: September 1, 2009 to August 31, 2010). Article VI: Meetings- The meetings of this Club will be held on the second Thursday of every month from September through May at 7:00 p.m. at a predetermined location. Procedures shall be according to Roberts Rules. All meetings will consist of a Secretary’s report, Treasurer’s report, Trail Master’s report, and Special Committee’s report(s), old and new business, and anything else to best serve the goals of the Club. The Executive Committee may from time to time reschedule a meeting due to conflicts, and may hold special meetings as deemed necessary. Article VII: VAST-Voting Delegates to the VAST annual meeting shall be appointed by the Executive Committee. The Club will bring any issues that affect the Vermont Association of Snow Travelers as a whole to the County Director. At no time shall the Club perform any actions that will affect VAST in a negative manner. Article VIII: By-Law Amendments- These By-Laws may be amended by a two-thirds vote of the Executive Committee and those members present at an Alburg SnoSpringers Club meeting. Any proposed change in the By-Laws shall be warned 30 days prior to voting. Article IX: Dissolution of the Club- This Club may be disbanded and dissolved by a two-thirds vote of the general membership upon determination that the Club is no longer viable or effective in achieving its purpose, mission or vision. Upon dissolution and after satisfying all legal and financial obligations and liabilities, the Executive Committee shall sell all remaining assets of the Club and the money be donated to a charitable organization. |
